Anne L. Johnson
Anne Johnson is an experienced general business and real estate attorney who assists clients in evaluating legal risks and opportunities when they make strategic business decisions. Anne has represented privately owned and managed companies, nonprofit organizations and start-up companies. Anne has also served as general outside counsel to many private companies providing advice and counseling on formation issues and day-to-day operation and governance issues, contracts, and other general business matters. Anne also advises professional fundraisers and charitable organizations on compliance issues in connection with state and federal fundraising and telemarketing regulations.
Anne is experienced in handling complex commercial transactions related to business acquisitions, sales, mergers, joint ventures and workouts. She is skilled in negotiating and documenting many types of secured and unsecured loan and line of credit transactions, including those involving asset and real estate acquisitions, as well as real estate development and construction projects. In addition, she is knowledgeable about government finance programs, including those run by the U.S. Small Business Administration, EXIM Bank and Maryland Small Business Development Financing Authority.
Anne represents a variety of dental practices and has gained valuable insight about the unique needs of general dentists, oral and maxillofacial surgeons, pediatric dentists, orthodontists, endodontists and periodontists in business transactions and situations they encounter during the lives of their practices. Services Anne provides to dental practice clients include structuring, negotiating and documenting employee arrangements, partnership arrangements, sales, acquisitions, and separations.
Anne also practiced administrative law with a Maryland State agency. In that capacity, she handled proceedings, rulemakings, and investigations involving regulated electric, water, gas and telecommunications utilities, including the setting of rates, establishment of reliability and service quality standards, and siting and licensing of transmission and distribution projects.
