Karilynn Bayus represents and counsels health care entities and providers in transactional, regulatory and administrative matters. Karilynn works regularly with physician groups, physicians, hospitals, universities, ancillary service providers, medical device manufacturers, ambulatory surgical centers and other health care-related businesses.
Karilynn regularly assists clients with compliance matters, including training and counseling on the Health Insurance Portability and Accountability Act of 1996 (HIPAA). Karilynn has helped clients assess and manage HIPAA breaches and negotiate Business Associate Agreements. Karilynn also regularly provides counseling on compliance with the health care fraud and abuse statutes, including the federal Anti-Kickback Statute, the federal Stark Law and related state laws and regulations.
Karilynn represents clients in a wide variety of contract matters including:
- Physician employment agreements;
- Shareholder agreements;
- Corporate governance;
- Asset sales and merger agreements;
- Innovating health care delivery system arrangements and agreements;
- Telemedicine and telehealth arrangements; and
- Equipment, space and personnel leasing arrangements.
Karilynn uses her health care experience to help clients structure transactions to accomplish business objectives and remain compliant with health care laws and regulations.
Karilynn helps clients navigate reimbursement disputes with federal and private payors. Karilynn also helps clients with licensure issues before the professional boards and associated matters, such as National Practitioner Databank reporting.
Karilynn regularly writes and speaks to health care audiences, including on HIPAA and data privacy matters and other compliance and contracting issues.
