Understanding Term Sheets from Angel Investors and Venture Capitalists

Term sheets are the first agreements drafted when you embark on an investment transaction. While non-binding, a term sheet outlines the basic terms and conditions under which an investment will be made. During this session, speaker Jay Reilly, Special Counsel from Saul Ewing, will discuss the most important points to consider in a term sheet and how to review a term sheet so you do not miss critical details that can influence your decision.

Jay Reilly brings to clients a dual perspective of legal issues facing businesses. He has a deep knowledge of the life sciences industries and has counseled smaller companies on a variety of corporate matters. Prior to joining Saul Ewing, Jay was General Counsel and Chief Compliance Office for Emergent BioSolutions.
