James F. Modzelewski, Former Vice President and Assistant General Counsel for Penn Virginia, Joins Saul Ewing’s Practices in Energy, Business & Finance and Private Equity & Venture Capital

Saul Ewing LLP, a full service law firm with more than 270 lawyers in 11 East Coast offices, today announced that James F. Modzelewski has joined the firm as special counsel in the Energy, Business & Finance and Private Equity & Venture Capital practices. He is resident in the firm’s Philadelphia office.

Mr. Modzelewski represents public and private companies in sophisticated mergers and acquisitions, joint ventures and other corporate transactions. He is sensitive to the needs of in-house counsel in these deals because he served in this role himself. Prior to joining Saul Ewing, Mr. Modzelewski was vice president and assistant general counsel for Penn Virginia Corporation, a NYSE-listed independent oil and gas company. While there, he had significant hands-on experience handling oil and gas and pipeline acquisitions, divestitures, financings and joint ventures. During his 11 years with the energy company, he completed:

  • more than 30 mergers and acquisitions and other corporate transactions, with an aggregate value of more than $1.725 billion; and
  • three credit facility refinancings, five public debt offerings and nine public equity offerings.

Before Mr. Modzelewski was in-house counsel, he worked in private practice advising public and private companies and private equity and leveraged buyout firms regarding mergers and acquisitions and securities matters, and counseled venture-backed and emerging companies.

Mr. Modzelewski earned his law degree from University of Pennsylvania Law School and his undergraduate degree from Duke University.
